r <br />(15) Additional Option to Extend Term. If before the termination of this lease, or within thirty (30) days <br />thereafter, Lessor shall receive a bona fide offer to lease the demised premises for a term to begin subsequent to the <br />primary term or any extension or renewal thereof, and Lessor desires to accept such offer, Lessor shall immedi- <br />ately submit to Lessee a written copy of such proposed Lease with a full disclosure of all terms and provisions thereof, <br />and Lessee shall have 60 days after receipt thereof in which to elect to lease said premises upon the same <br />terms and provisions contained in such offer. It is agreed that if Lessee does not in any instance elect to lease said <br />premises in accordance with the provisions of this paragraph, such failure shall in no way limit or affect Lessee's <br />right and option to extend this lease as provided in paragraph (2) hereof; and, conversely, no neglect or failure to <br />renew or extend the lease under paragraph (2) above on the part of Lessee shall be construed to limit or affect <br />Lessee's right and option under this paragraph. <br />(16) Notice. Any notice by Lessee to Lessor hereunder may be given by mailing same by registered mail to <br />Lessor at Lessor's address hereinabove stated. <br />(17) Assignability and Subletting. Lessee is granted the right to assign or sublet the premises herein leased, <br />or any portion thereof, provided, however, such assignment or sublease shall not release Lessee from its obligations <br />imposed herein. <br />(18) Easement. For and in consideration of the rental to be paid by Lessee to Lessor as hereinbefore pro- - <br />vided, Lessor hereby grants unto Lessee during the continuance of this lease an easement over the following <br />described land, to wit: <br />NO EASEMENT <br />said easement to be used by Lessee for the purpose of providing ingress and egress for Lessee, its agents, servants, <br />employees, and customers, to and from the leased premises above described; it being understood and agreed that <br />Lessee shall have the right and privilege, but not the obligation, to pave all or any portion of the lands covered by <br />this easement with any appropriate paving material. <br />(19) Use of Adjoining Land. For so long as Lessee maintains and uses the leased premises for service station <br />purposes, Lessor shall not, either directly or indirectly, erect, construct, maintain, or operate, or permit the erec- <br />tion, construction, maintenance, or operation of a motor vehicle service station, nor sell or permit the sale of motor <br />fuel and other merchandise customarily handled by such service stations, on any of the premises immediately ad- <br />joining and /or within three hundred (300) feet of the leased premises, which may now or hereafter be owned or <br />controlled by Lessor, - peraf y�rldi= - n -scz�la -a xrirsg -Pre <br />w h shall= cleser�a an3��tr €ct- urn =va lr -tire les=EEbtrt--thm-- F--- he=- ser!,viee= stativn-building upul <br />leased- #rernise� <br />(20) Approval and Signing of Lease. This agreement, whatever the circumstances, shall not be binding on Lessee <br />unless and until approved and signed on its behalf by one of its Vice Presidents, Regional General Managers, or Assist- <br />ant Regional General Managers, its General Sales Manager or Director of Marketing Operations, or one of its Re- <br />gional Managers of Marketing. <br />(21) Successors and Assigns. This agreement shall be binding upon and shall inure to the benefit of the parties <br />hereto and their respective heirs, executors, administrators, successors, and assigns. <br />(22) Entirety of Agreement. No prior stipulation, agreement, or understanding, verbal or otherwise, of the <br />parties or their agents, shall be valid or enforceable unless embodied in the provisions of this lease. <br />(23) Holdover. If at the expiration or termination of this lease or any extension thereof, Lessee shall hold over <br />for any reason, the tenancy of Lessee thereafter shall be from month to month only, and be subject to all the other <br />terms and conditions of this lease, in the absence of a written agreement to the contrary. <br />(24) Special Provisions. <br />A. Removal of Property. Lessee shall have the right at any time dur- <br />ing the continuance of this lease, or within thirty days after its terminatio., <br />whether by lapse of time or otherwise, to sever and remove all pumps, machinery, <br />compressors, and other similar equipment owned or placed on said premises by <br />Lessee; provided that same can be removed without damage to the freehold; but <br />Lessee shall not be required to sever and remove same. Lessee shall not have <br />the right to remove any driveways or buildings placed thereon or any electrical <br />and plumbing installations, but the same shall become the property of Lessor at <br />date of termination of the lease, without obligation to maze compensation there <br />for to Lessee. <br />B.. Taxes. Lessor agrees to pay all general property taxes and install- <br />ments of special assessments levied against the demised premises which. are due <br />and payable before the commencement of the lease term. If Lessor should fail to <br />do so, Lessee may make such payment for the account of the Lessor, in which eveni <br />Lessee shall be subrogated to all the rights Qf the holder of any lien securi.nl- <br />such taxes and assessments, and in addition thereto shall have the right to appl3 <br />accruing rentals in satisfaction of such obligation; or Lessee, in the event of <br />the 'for.eclosure of any such lien and the sale of the demised prem.i,ses and im- <br />provements, shall have the Fight to b in said premises and improvements for its <br />own account.
