<br /> (c) The Merger shall became ef�e�tive at 12:00 noon Eastern Standard. c

<br /> deeds and instruments and to take or cause to be taken such further or �o#liar

<br /> acquired by reason of or as a result of the Mer$er and otherwise to canry out thcs

<br /> MPRR to take any and all such action.

<br /> MPRR shall be assumed by UFRR as if UPRR itself had incurred them. .
