<br /> Immediately prior to the Merger,there were 38,867,392.7058830729 shares of Common
<br /> � Stock, $10.00 paz value per share, of UT'RR (the "UPRR Common Stock") issued and

<br /> outstanding. LTPRR Common Stock is the only class of capital stock of UPRR issued and
