<br />CITIMORTGAGE, INC., a corporation duly constituted, registered and in existence in
<br />accordance with the laws of the state of New York, with its principal place of business located in
<br />O'Fallon, Missouri, her�y constitut� and appoints MIDFIRST BANK ("MidFirst"), a federally
<br />chartered savings association, its true and lawful Attorney-In-Fact, and in its name, place and stead
<br />and for its use and 6enefits hereby authorizes the aforesaid Attorney-In-Fact by and through any
<br />officers appointed by the Board of Directors of MidFirst to execute and acknowledge in writing or
<br />by facsimile stamp all documents customarily and reasonably necessary and appropriate for the
<br />tasks described in items (i) through (vi) belaw. This Power of Attorney is being issued in
<br />connection with the sale and transfer by the undersigned to MidFirst of the undersigned's rights and
<br />responsibiliries to sernice certain mortgage loans (the "Loans"). These Loans are comprise� of
<br />Mortgages, Deeds of Trust, Deeds to Secure Debt and other forms of Security Instruments
<br />(collectively the "Security Instruments") and the Mortgage Notes secured thereby.
<br />(i) The Substitution of Tn�stee(s) and appointments of successor Tnistee(s) in De�ds of Trust and/or
<br />Deeds to Secure Debt in the name of the undersigned,
<br />(ii) The Satisfaction, Assignment and/or Release of Security Instruments in the name of the
<br />undersigned and/or the issuance of Deeds of Re�onveyance upon payment in full and/or discharge
<br />of the Mortgage Notes secured thereby,
<br />(iii) The Modification andlor Partial Release of Security Instruments in the name of the
<br />undersigned,
<br />(iv) The Assumption of Security Instnunents in the name of the undersigned and the Mortgage
<br />Notes securfxl thereby,
<br />(v) The endorsement on behalf of the undeisigned of all checks, drafts and/or other negotiable
<br />instnunents made payable to the undersigned,
<br />(vi) The Purchase and Sa1e Contracts and other closing documents, such as assignments of
<br />mortgage/deeds of trust, related to dispositions of property acquired by foreclosure, deed in lieu
<br />of foreclosure, or similaz process,
<br />(vii) The right to collect, accelei�ate, initiate suit on and/or foreclose all Loans, and
<br />(viii) To execute and deliver deeds of conveyance.
