By Deputy NEBRAS;<A �OCUMENTARY STA"�^P T^„4 WARRANTY D EED J A N 2� �9�I� � � � �6 BY KNOW ALL MEN BY THESE PRESENTS: E�'%/r .o� That COMAP, INC. , a Delaware corporation, in considera- tion of th� sum of One Hundred Dollars ($100.00) and other valu- able consideration in hand paid, receipt of which is hereby acknowl- edged, does hereby grant, bargain, sell and convey unto DELAWARE WESTERN PROPERTIES, INC. , a Delaware corporation, all of the real property and premises situated in Hall County, Nebraska, de- scribed on Exhibit "A" attached hereto and made a part hereof, such real property and premises being hereinafter referred to as the "Premises, " EXCEPTING, however, all of the oil, gas and other minerals in and under the premises. This deed is being made pursuant to the terms and provi- sions of that certain Lease and Agreement by and among Delaware Western Properties, Inc. , Lessor, and COMAP, Inc. , Lessee, and Bankers Trust Company, as Escrow Agent, and Bankers Trust Company and R. I. Landau, as Trustees, dated as of November 30, 1970, cover- ing, among other lands, the lands described on Exhibit "A, " attached hereto, which Lease and Agreement provides that COMAP, Inc. , shall convey a fee simple interest in the premises to Delaware Western Properties, Inc. , subject to the special limitation that such estate shall continue for only so long as said Lease and Agreement shall not have been terminated pursuant to Paragraph 18(a) thereof; Together with all the tenements, hereditaments, and appur- • tenances to the same belonging and all the estate, title, claim, or demand whatsoever of COMAP, Inc. , of, in, or to the same or any part thereof, the whole being subject to the special limitation hereinafter contained and to said Lease and Agreement, Permitted Liens" as defined in Paragraph 4 of said Lease and Agreement and violations and nuisances referred to in Paragraph 3(d) thereof (such Lease and Agreement, liens, violations and nuisances being herein- after referred to as the "Stated Exceptions" ) ; And for the same consideration, COMAP, Inc. , does hereby bargain, sell, transfer, and convey unto Delaware Western Properties, Inc. , its successors and assigns, all of the equipment of whatever character owned by COMAP, Inc. , and now located on the premises. TO HAVE AND TO t=iOLD the above described premises and equipment with the appurtESnances to the said Delaware Western Prop- erties, Inc. , its successc�rs and assigns, so long as the said Lease and Agreement shall not have been terminated pursuant to Paragraph 18(a) of said Lease and Ae�reement, and if said Lease and Agreement shall so terminate, the e:�tate hereby granted shall automatically terminate and the said premises revert to COMAP, Inc. ; and the said COMAP, Inc. , for itself, its successors and assigns, does covenant � with the said Delaware Western Properties, Inc. , and with its suc- cessors and assigns that it is lawfully seized of the premises; that the premises are free from encumbrances other than the Stated Exceptions; that it has good right and lawful authority to sell the same; and that it and its successors and assigns warrant and defend the same, subject only to the Stated Exceptions unto the said Delaware Western Properties, Inc. , its successors and assigns, against the lawful claims of all persons whomsoever.
