<br /> iNHEREAS, a resolution to dissolve as provided by the Nebraska
<br /> Business Corporation Act and co�pletely liquidate pursuant to
<br /> I.R.C. � 337, �vas adopted by the affirmative vote of more than
<br /> two-thirds of a11 of the outstanding shares of stock o£ Bartenbach
<br /> Properties, Incorporated, a Nebraska corporation;
<br /> WHEftEA5, on October 13, 1965, "The Staternent of Intent to
<br /> Dissolve" such Bartenbach Properties, Incorporated, w�ts filed in
<br /> ; the office of the Secretary of State of Nebraska �na the office of
<br /> Cnun�y Clerk of Ha11 County, Nebraska, October 14, 1965;
<br /> WHEftEAS, adequate provision has beera made for payment of any
<br /> and all deb�s, obligations, and liabila.ties of such corporation;
<br /> WHERFAS, there is certain real property belonging to the
<br /> corporation remaining for distribution to the shareholder� as
<br /> tenants in common in the proportions o£ ownership of shares of
<br /> stock of such corporation of the par value of One Hundred Dollars
<br /> . per share; .
<br /> WHFREAS, the shareholders of such corporation have surrender-
<br /> ed their several certificates of shares f or cancell.ation in con-
<br /> sideration of this conveyance and other distributions to them of
<br /> the as�ets of such corporation, in liquidation thereof pursuant
<br /> to I.R.C. � 337, and the Nebraska Business Corporation Act;

<br /> organized and existing under and by virtue of the laws of Nebraska,
<br /> does grant, bargain, se11, convey, and confirm unto its shareholders
