98- 1��4800 <br /> or its Superior Loan Documents will be discharged or deemed satisfied until all Obligations are <br /> indefeasibly paid in full. <br /> 14. �Vliscellaneouc. <br /> (a) This Agreement may be executed in any number of counterparts bearing the <br /> original signatures of all parties hereto, each of which shall constitute an original for all purposes, <br /> but all of which shall evidence but one and the same Agreement. <br /> , <br /> (b) This Agreement shall be governed by and construed in accordance with the <br /> laws of the State of Alabama, except that insofar as this Agreement establishes or affects priorities <br /> in the Collateral for the Obligations, the law of the State in which the collateral is located shall <br /> apply. <br /> (c) No waiver by any party hereto of the compliance by any other party with <br /> any term, provision, obligation or agreement contained herein shall constitute a waiver of such <br /> party's right to thereafter require full compliance therewith, provided, however, that the <br /> subordination contained herein is absolute, and no failure of any party to act in all respects in <br /> conformity with the requirements of this Agreement shall result in any invalidity or reversion of <br /> the priorities established hereby. <br /> . <br /> (d) Borrower and Subordinating Creditor agree to pay all costs and expenses <br /> now or hereafter incurred by Lender in connection with the enforcement of this Agreement, and <br /> Borrower agrees to pay all taxes and recording fees incurred in the filing or recording of this <br /> Agreement. <br /> (e) This Agreement shall be binding upon and inure to the benefit of the parties <br /> hereto and their respective successors and assigns. <br /> 4922863 17 <br />
