<br /> WHEREAS, UNION PACIFIC RAILROAD COMPANY, a Utah corporation
<br /> (hereinafter called "Union Pacific"), is the owner of certain railroad right-of-way which was
<br /> granted to it, or its predecessor(s) in interest, by the United States of America, and which lies
<br /> �lvithin I-�all County, State of Nebraslc� (the "Granted Right-of-Way"). ,
<br /> , WHEREAS, under the Act of May 21, 1930 (46 Stat. 373; 30 USCA, Sections 301-
<br /> 306) and the regulations issued thereunder, Union Pacific, as the owner of the Granted Right-of-
<br /> Way, or Union Pacific's lawful successor, assignee, or transferee, has the right, under the terms
<br /> and conditions set out in said Act and regulations� to make appli�ation for and receive from the
<br /> United States of America an Oil and Gas Lease or Leases covering the Granted Right-of-Way; and I
<br /> WHEREAS, UNION PACIFIC desires to assign to Union Pacific Resources
<br /> Company ("UpRC"), a Delaware corporation, all of Union Pacific's right under the aforesaid Act
<br /> and regulations to apply for and receive from the United States of America an Oil and Gas Lease
<br /> or Leases covering the Granted Right-of-Way hereinabove referred to;

<br /> �° NOW, THEREFORE, in consideration of the sum of $1.00 and other good and
<br /> valuable consideration paid to Union Pacific by UPRC, the receipt and sufficiency of which aze
<br /> hereby acknowledged, Union Pacific dces hereby assign to UPRC, its successors and assigns, all I
<br /> of Union Pacific's rights under said Act of May 21, 1930, and the regulations issued thereunder
<br /> to apply for and receive from the United �States of America an Oil and Gas Lease or Leases
<br /> covering all or any portion of the Granted Right-of-Way.� �
<br /> Union Pacific acknowledges that UPRC may in the future require confirmation from
<br /> Union Pacific of a description or descriptions that more specifically describe the Granted Right-of-
<br /> Way or portion thereof for which UPRC may apply for an Oil and G�s Lease. Upon writte
<br /> request from UPRC, accompanied by a specific description of the Granted Right-of-Way o� �
<br /> portion thereof for which UPRC intends to apply for an oil and gas lease, Union Pacific agrees
<br /> to provide UPRC with further instruments confirming this conveyance reasonably necessary to
<br /> confirm this Assignment as to such description.
