<br /> bu�insss of printing and gublishin� the Anzei�;er - Herold, and all business usually connected
<br /> with a printin�; establishment of that kind, includin� �ob work of any and aIl kinds, and all such
<br /> matters as might be deemed benefic3al to further the interest of the said enter�arise and the
<br /> egtension of the circulation of the said paper, which business ehall be carried on and ��onc�ucted
<br /> in the City of Grand Island, Hall County, Nebraska, upon the following terms and conditions:
<br /> F'irst: .
<br /> The name and style of the saici pa=tnership shall be Anzeiger-�?erald P�cl�. Co. and shall
<br /> � continue for ,t��en'ty-five (�5) years from -this date, unless sooner terminated by the death of . ,
<br /> either of the said parties, or by mutual agreement 3oined. in by at least t:wo of the partners here �
<br /> in nar.iec�. In case one of its partners is desirous of selling his shar�► of the partnership assets
<br /> the remaining partners shall have the first chanee to. buy at price offered to any other purchaser

<br /> That the saic� Oscar l�indolph ahall contribute to the capital stock of the said firm, the sum of . ,

<br /> P. Boshm shall contribute the sum of �1500 0 0 and the said partners shall be ovmere af the stock

<br /> All the profits which shall accrue to the said partnership shall be divided between the
<br /> said partners as follo�rs; To the said Oscar Windoiph, one-fifth; to the said Henry 8andsrs, two- �
<br /> fifths and ta the said Theodoze P. Boehm, two-f3fths; And a11 Ioases from whatever caus�s slaall
<br /> be borne by them in proportion to the3r 3nterest in the Btock af the said firm.

<br /> Fourth;
<br /> Neither of said partners .shall s3gn, no�' in any manner become liable upon any promissorp
<br /> note or other obligation for the accornodation of any person whatsoever, nox lend any of the co-
<br /> partnership funcls, w3thout the consent in �rriting of the other partners.
<br /> Fifth;
<br /> �teither partner shall withdraw from the funds of the f irm to exceed the sum of his ehare
<br /> of the net profits of the said business, as follows; The said Oscar %indolph, one-fifth; thereof
<br /> Henry Sanders, Two-f3fths thereof and the said Theodore P. Boehm, two-fifths thereof. Which
<br /> swri shall be withdrawn, if desired, two ti�se each pear, ta-wit: on the 1" day of Januarq and th
<br /> 1" day of July each year durin� the lif�, of this agreeme�ht; but neither partner sha11 be entit-
<br /> � led to draw in egcesa of his share of the aforesaid net profits then earned. Nothing herein can- , ,

<br /> tained sha11 in any mannex prevent, however, the partnership from h3ring the individuai n�embers

<br /> hereof at the same rates and for the same kind of bus3.ness and work as it would be eompelled to
<br /> pay a stranger to the institution, ancl pay the members sa hired the same as it would be campelled
<br /> to pay a atranger to the partnership. �
<br /> Sixth;
<br /> AlI transactions and accounts of the f irm shall t�a kept in re�ular books, which shall be
<br /> open at all titt�eg to the inspQCtion of either party or their representatives.
<br /> Seventh. .
<br /> An invoice of the stock �hall be taken on the first day of January each year, and the
<br /> account; between the parties settled at that time. And an invoice shall be taken and account had
<br /> at any other tir�e �rhen any partner sha11 demanct the same in writing .
