<br />Recorder's Memo:
<br />The Southeast Quarter (SE1/4), the East Half of the Southwest Quarter (E1/2SW1/4), and the
<br />Northeast Quarter (NE1/4) of Section Three (3), Township Eleven (11) North, Range Ten (10)
<br />West of the 6th P.M., Hall County, Nebraska, except that portion deeded to Southern Nebraska
<br />Rural Public Power District in Warranty Deed recorded in Book 164, Page 409.
<br />TERMINATION AGREEMENT
<br />This Termination Agreement is made and entered into on this 30th day of December,
<br />2011 by and among METTENBRINK FARMS, INC., a Nebraska corporation, GARY
<br />METTENBRINK and KIM METTENBRINK, husband and wife, JOHN METTENBRINK and
<br />PATRICIA METTENBRINK, husband and wife, LYNN METTENBRINK, a single person, and
<br />CAROL METTENBRINK f/k/a CAROL METTENBRINK YORK, a single person.
<br />WITNESSETH:

<br />WHEREAS, the Mettenbrink Company, Mettenbrink Farms, Inc., 4-M Agricultural
<br />Associates, Inc., Gary Mettenbrink, Roxanne Mettenbrink, John Mettenbrink, Lynn Mettenbrink
<br />Cathy S. Mettenbrink, Carol Mettenbrink York n/k/a Carol Mettenbrink, and Thomas L. York
<br />entered into a certain Buy-Sell Agreement of Shareholders and of Tenants in Common dated
<br />March 20, 1985 that is recorded in the Office of the Hall County Register of Deeds �s Instrument
<br />No. 97-104403 ("Buy-Sell Agreement");
<br />WHEREAS, by Amendment dated May 25, 2011, the parties hereto amended the Buy-
<br />Sell Agreement, which Amendment has not been filed of record with the Hall County Register of
<br />Deeds;
<br />WHEREAS, pursuant to ARTICLE VI of the Buy-Sell Agreement, Roxanne
<br />Mettenbrink, Thomas L. York, and Cathy S. Mettenbrink released any and all right, title, claimor
<br />interest they would otherwise have to the corporate stock or the real estate identified in the Buy-
<br />Sell Agreement and as such, Roxanne Mettenbrink, Thomas L. York, and Cathy S. Mettenbrink
<br />are not necessary parties to this Termination Agreement;
<br />WHEREAS, 4-M Agricultural t�ssociates, Inc. was dissolved for nonpayment of
<br />occupation taxes on April 16, 2010 and as such, 4-M Agricultural Associates, Inc. is not a
<br />necessary party to this Termination Agreement;
<br />WHEREAS, The Mettenbrink Company was voluntarily dissolved on December 19,
<br />2011 and as such, The Mettenbrink Company is not a necessary party to this Termination
<br />Agreement; and
