WITNESSETH: WHEREAS,Landlord and Northstar Restaurants,Inc.("Northstar"),a Delaware corporation, entered into a Lease Agreement dated September 19, 1995 (the "Lease"), as evidenced by that certain Memorandum of Lease dated September 19, 1995 and filed September 19, 1995 at 1:25 P.M. as Instrument No. 95-106284 (the "Memorandum of Lease") for certain real property located in Grand Island, Hall County, Nebraska, as more particularly described on Exhibit "A" hereto (the "Premises"); and WHEREAS, Northstar assigned all of its right, title and interest in the Lease to Finest Foodservice LLC, ("Tenant") by that certain Assignment of Leases filed January 10, 1996 in the Register of Deeds Office as Document Number 96-100257. WHEREAS, Landlord and Tenant each desire that the Lease be terminated and the Memorandum of Lease be discharged of record as provided herein. NOW THEREFORE, for and in consideration of the premises hereof, TEN DOLLARS ($10.00) in hand paid by each party to the other and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Landlord and Tenant do hereby agree as follows: 1.
