<br />F20000154 <br /> <br />without limitation and whenever appropriate, the execution and delivery thereof and of <br />all other related documents, instruments, certifications and opinions, and (2) delegates, <br />authorizes and directs both the Chairman and the Vice Chairman the right, power and <br />authority to exercise his or her own individual independent judgment and absolute <br />discretion in determining and finalizing the terms, provisions, form and contents of each <br />of the documents hereinbefore identified and referred to. The execution and delivery by <br />the Chairman or Vice Chairman or by any such other officer, officers, agent or agents of <br />the County of any such documents, instruments, certifications and opinions, or the doing <br />by them of any act in connection with any of the matters which are the subject of this <br />Resolution, shall constitute conclusive evidence of both the County's and their approval <br />of all changes, modifications, amendments, revisions and alterations made therein and <br />shall conclusively establish their absolute, unconditional and irrevocable authority with <br />respect thereto from the County and the authorization, approval and ratification by the <br />County of the documents, instruments, certifications and opinions so executed and the <br />action so taken. <br /> <br />SECTION 6. Findine-s. The County has heretofore determined, and does hereby <br />determine, as follows: <br /> <br />(a) Notice of a public hearing was published in The Grand Island <br />Independent on March 13, 2000 concerning the proposal to issue Industrial <br />Development Revenue Bonds (Young Women's Christian Association of Grand <br />Island, Nebraska Project) by the County (the "Bonds") in accordance with the <br />provisions of Section 2 of Article XIII of the Nebraska Constitution and Sections 13- <br />1101 to 13-1110, inclusive, Reissue Revised Statutes of Nebraska, as amended. <br /> <br />(b) Pursuant to said notice, a public hearing on such proposal to issue the <br />Bonds on behalf of Young Women's Christian Association of Grand Island, <br />Nebraska (the "Lessee") has been conducted by the Board at the time and place as <br />specified in said notice and all persons who appeared were given an opportunity to <br />express their view, for or against the proposal to issue said Bonds. <br /> <br />(c) All objections or other comments relating to the issuance of the Bonds <br />have been heard and have been duly considered by the Board in connection with the <br />adoption of this Resolution. <br /> <br />(d) (i) A general functional description of the type and use of the project <br />has been accurately described in said notice of hearing and is hereby approved; (ii) <br />the maximum aggregate face amount of the Bonds has been accurately described <br />in said notice of hearing and is hereby approved; and (iii) the initial owner, operator <br />or manager of the Project. has been accurately described in said notice of hearing <br />and is hereby approved: - <br /> <br />(e) The issuance of the Bonds will effectuate the public purposes of the <br />County and carry out the purposes of Section 2 of Article XIII of the Nebraska <br />Constitution and Sections 13-1101 to 13-1110, Reissue Revised Statutes of <br /> <br />342063.1 <br /> <br />-5- <br />
